The Business Legal team, which includes the Corporate Legal team, is a team of centralized legal subject matter experts who provide support across all of Plaid’s functions. Role Description
Plaid is looking for a highly capable and resourceful corporate generalist to join its Business Legal team, which includes Corporate Legal.
The Corporate Counsel role is responsible for all areas of corporate law and governance, including corporate governance & Board support, corporate transactions support, subsidiary and entity management, corporate regulatory compliance and policy development. The ideal candidate will be one who can provide empathetic and practical advice to the business and work well with various cross functional teams and stakeholders.
Responsibilities
Corporate Governance & Board Support: Support the company’s corporate governance framework and Board of Directors activities, including preparing board and committee meeting materials (resolutions, minutes, written consents) and maintaining corporate records and filings to ensure the company remains in good standing. This involves organizing documentation for board meetings and implementing governance practices appropriate for a late-stage private company.
Assist in preparing for a potential initial public offering and collaborate with internal teams and external counsel. Ensure the company complies with applicable securities laws and SEC regulations, and help establish the necessary corporate governance structures and internal controls required for a public company.
Following a potential IPO, assist in preparation and review of periodic filings with the SEC, compliance with SEC and exchange rules and regulations and quarterly earnings materials.
Corporate Transactions Support: Provide legal support for any strategic corporate transactions and financing events. Assist with due diligence efforts, support drafting of transaction documents, and coordination of deal closings under the guidance of senior counsel.
Subsidiary & Entity Management: Help manage the company’s subsidiaries and affiliated entities. This includes coordinating the formation of new entities or dissolution of inactive ones (both in the U.S. and internationally) and supporting any changes in corporate structure.
Regulatory Compliance & Policy Development: Monitor evolving laws and regulations in corporate and securities law (including SEC rules and stock exchange governance standards) and advise the legal team on any changes that could impact the company. Develop, implement, and maintain currency of internal corporate policies and corporate governance programs.
Cross-Functional Collaboration: Work closely with cross-functional teams (e.g. Finance, HR/People, Stock Administration, and Compliance) to address ongoing legal needs and support company-wide initiatives
Special Projects & Other Legal Support: Take on special projects and ad hoc legal tasks as needed, reflecting the dynamic needs of a growing tech company.
Qualifications
4+ years of relevant experience at a law firm or in-house counsel
Strong interest in fintech
JD degree required
US Bar admission in at least one state
Strong communication (both written and verbal) skills and excellent legal and business judgment.
Experience working with senior management and ability to work well with various teams in a fast-paced environment.
Comfortable with a daily high volume of tasks and projects, and can quickly shift priorities as needed.
Humble, proactive, resourceful, highly organized, with great attention to detail and a strong ability to execute and flexibility to handle a variety of projects.
